Hobbie Agreement Summary

Policy / Agreement

(Effective 9/12/2025)

1. Definitions

• Vendor: The creator/designer of the digital asset (e.g., quilt pattern).
  
• Consumer: The individual purchasing the digital asset for personal (non-commercial) use.
  
• Platform: Hobbie, LLC — the operator facilitating the marketplace of digital asset distribution.
  
• Product: The specific digitally delivered asset (e.g., quilt pattern file, PDF).
  

2. Vendor Responsibilities & Rights

• Ownership: The Vendor retains full ownership and intellectual property rights over the Product. A license (not transfer of ownership) is granted to the Consumer upon purchase.
  
• Fees: Vendor agrees to Platform fees, as detailed in the Platform’s Fee Schedule.
  
• Product Support: Vendor shall provide reasonable support to Consumer regarding issues with the Product.
  
• Termination: The Vendor may terminate this agreement with 30 days' written notice.
  
• Compliance: Vendor must abide by Platform content and community guidelines; ensure the Product is lawful, original, and does not infringe third-party rights.
  
• Indemnity: Vendor will indemnify and hold Platform harmless against claims arising from the Product or Vendor’s breach of terms.
  

3. Platform Responsibilities

• Promotion: Platform may use Vendor’s provided images in promotional materials—given they include accreditation (e.g., “by [Vendor]”), and are unaltered except for scale adjustments.
  
• Payment Processing:
  
  • Platform collects payments from Consumers on Vendor’s behalf.
    
  • Platform remits Vendor payment, less applicable fees, on a monthly schedule.
    
• Product Delivery:
  
  • Platform delivers or enables Consumer access to the Product no later than 24 hours after payment confirmation.
    
  • Delivery may be via secure, expiring download link.
    
• Standards & Quality:
  
  • Platform reserves the right to assess the Product against quality standards (e.g., file integrity, clarity) and may request revisions or removal if standards aren’t met.
    
• Policy Enforcement & Privacy:
  
  • Platform enforces its Policies.
    
• Modifications:
  
  • Platform may update policies with 30 days’ notice via email.
    

4. Consumer Terms

• License & Use:
  
  • Consumer receives a non-exclusive, non-transferable license to use the Product strictly for personal, non-commercial purposes. Quilt patterns CANNOT be reproduced and sold. Duplication of any kind is prohibited. However, quilts made using purchased patterns CAN be sold on a small-scale with design credit.
    
  • Resale, redistribution, sublicensing, or claim of authorship are prohibited.
    
• Access Period:
  
  • Consumer receives an access link to the Product which is valid for 7 days, after which the access link expires.
    
• Refunds & Returns:
  
  • Refunds are granted only for accidental duplicate purchases or if Product fails to meet Platform standards (as determined by Platform).
    
  • Refund requests must be submitted within 10 days of purchase, with specific reasons (e.g., accidentally purchased multiple quantities of the same Product).
    
• Fair Use & Conduct:
  
  • Consumer agrees to a Fair Use Policy—e.g., no sharing, AI redistribution, or infringement.
    
• Support:
  
  • Consumer may contact Platform support for download issues or concerns. Refunds or replacements are issued per Platform review.
    

5. Termination & Post-Termination

• Vendor Termination:
  
  • Upon termination (by Vendor with 30 days’ notice), ongoing access to previously purchased Products remains available until the expiration of the access period.
    
• Platform Termination:
  
  • Platform may suspend or terminate Vendor’s access for breaches, fraud, or legal violations.
    
• Effect on Consumers:
  
  • Consumers retain access to already purchased Products as outlined. No new purchases from a terminated Vendor shall be accepted.
    

6. Miscellaneous Provisions

• Governing Law:
  
  • This Agreement is governed by the laws of the United States, and disputes are resolved in the appropriate jurisdiction.
    
• Limitation of Liability:
  
  • Neither party is liable for indirect, incidental, or consequential damages arising from this Agreement.
    
• Severability:
  
  • If any provision is found invalid, the remainder remains in full force.
    
• Entire Agreement:
  
  • This document comprises the entire Agreement between Vendor, Platform, and Consumer.
